Terms and conditions

Working B2B draft for Maintenzo. The commercial points reflect the currently intended offer model. Before the first production contract, this wording must be aligned with the final legal entity, billing process, tax treatment, governing law and final service scope and reviewed legally.

1. Scope

These terms cover ongoing website operations, Maintenzo Control and separately agreed project or additional services for business customers.

2. Services

The exact scope follows the selected plan, individual offer and documented customer workspace. General corporate IT, complete cybersecurity, internal networks and unrelated third-party systems are not included unless separately agreed.

A standard request is one clearly scoped website change requiring up to 30 minutes of work. The monthly allowance depends on the selected plan. Unused standard requests expire at the end of the applicable billing period and do not roll over.

3. Customer cooperation

The customer supplies required access, content, approvals and information and confirms that submitted content may lawfully be used and edited. Missing cooperation may move agreed delivery dates.

4. Maintenzo Control

Maintenzo Control documents service status, requests, completed work, reports and recommendations. Portal information reflects the current work state and is not an independent guarantee unless explicitly agreed.

5. Automated checks

Website checks and Health Scores are technical assessments based on information available at the time of the check. They are not complete security audits and do not guarantee rankings, revenue, availability or error-free operation.

6. Pricing, billing and additional work

Recurring management plans are billed monthly in advance. The applicable price and tax treatment must be clearly stated before contract conclusion.

Work outside the included plan scope is not carried out or charged automatically. Maintenzo describes the additional work and obtains customer approval before starting it. Relaunches, major new pages, complex functionality and other larger projects are handled under a separate offer.

A new business website may be ordered with a new Maintenzo management subscription as a separate website project for a one-time net fee of €2,490. The exact project scope, content, timeline and any excluded third-party or custom costs are defined in the individual project offer before work starts.

When website creation and a new Maintenzo management plan are ordered together, the first three monthly fees of the plan selected at contract conclusion are charged at €0. Regular monthly plan pricing begins in month four. This benefit applies to the combined new contract and is not retroactive to an already active subscription unless explicitly agreed otherwise.

7. Term, renewal and cancellation

The minimum term is one billing month. Afterwards, the management plan renews for additional monthly billing periods unless cancelled in time.

The cancellation notice period is 14 calendar days before the end of the current billing period. The individual billing-period start date is stated in the offer or order confirmation.

8. Plan changes

An upgrade may take effect immediately after confirmation by Maintenzo. Standard requests already used in the current billing period count toward the higher plan allowance. Any resulting price difference is confirmed transparently before the change.

A downgrade takes effect at the start of the next billing period.

9. Payment default

If due amounts remain unpaid, Maintenzo may, after an appropriate payment reminder, temporarily pause ongoing management and non-urgent additional work until outstanding amounts have been settled. The final legally reviewed version will define any further default and reminder consequences.

10. Third-party services

Hosting, domains, email, AI, analytics and platform services may depend on external providers. Unless included in the Maintenzo fee, third-party charges remain the customer's responsibility.

11. Liability

Liability follows mandatory law and any valid limitations agreed in the final contract. Nothing in these terms excludes liability where exclusion is prohibited by law.

12. Confidentiality and access

Both parties protect non-public business and access information. Customers must secure credentials and two-factor mechanisms and report suspected compromise promptly.

13. Final provisions

Governing law, venue and other final clauses will be completed for the actual legal entity and target market before production contracting.
